1. Acceptance of Terms
Welcome to Bakeshop ("we," "us," or "our"). By creating a storefront, placing an order, or otherwise accessing our website (www.bake.shop) and software-as-a-service platform (the "Services"), you agree to be bound by these Terms of Service ("Terms").

These Terms apply to all visitors, users, and others who access the Services ("you" or "Users"), including:
"Merchants": Bakers, chefs, and small business owners who use our platform to sell goods.
"Customers": Individuals who browse menus or purchase goods from Merchants.


2. The Bakeshop Platform
Bakeshop is a technology provider, not a bakery.
We provide a suite of tools—including website hosting, order management, inventory tracking, and payment processing—that enables Merchants to build their own digital storefronts and manage their bakery businesses.
- Merchant Relationship: When you purchase goods through a Bakeshop hosted storefront, your contract is directly with the Merchant, not with Bakeshop.
- Liability: Bakeshop does not prepare, package, store, or inspect food. We are not liable for the quality, safety, or legality of the items sold by Merchants on our platform.


3. Merchant Storefronts & Services
A. Digital Storefronts
Merchants use Bakeshop to create branded online stores. Merchants are solely responsible for:
- Accurately describing their products, ingredients, and allergen information.
- Setting their own pricing, pickup/delivery zones, and operating hours.
- Merchants are responsible for creating, posting, and enforcing their own store policies regarding refunds, cancellations, and fulfillment.
- Obtaining and maintaining all necessary licenses, permits, and food safety certifications required by their local jurisdiction.
- The safety, quality, legality, and preparation of all goods sold through their storefront.
- Merchants agree to strictly adhere to all applicable local, state, and federal food safety regulations, health codes, and cottage food laws.

B. "Drops" and Rotating Menus
Merchants may choose to utilize our "Drop" feature to schedule limited-time sales windows or rotating menus.
- Availability: Products listed in a "Drop" or limited release are sold on a first-come, first-served basis. Placing an item in a cart does not reserve inventory until checkout is successfully completed.
- Scheduling: Merchants control the start and end times of these events. Bakeshop is not responsible for technical discrepancies in countdown timers due to user device settings.

C. Custom Orders
Merchants may use the platform to accept inquiries and payments for custom orders (e.g., wedding cakes, catering). Terms for deposits, final payments, and design approval are set by the individual Merchant.


4. Accounts and Security
To establish a storefront or manage orders, you must register for an account.
- Accuracy: You agree to provide accurate, current, and complete information during registration.
- Security: You are responsible for safeguarding your login credentials. You accept responsibility for all activities that occur under your account.
- Eligibility: You must be at least 18 years old to operate a storefront or make a purchase.


5. Fees, Payments, and Payouts
A. For Merchants
- Subscription Fees:
Access to the Bakeshop SaaS platform (including storefront hosting and management tools) may be subject to a recurring subscription fee. Pricing tiers are detailed on our pricing page and are subject to change with notice.
- Platform Transaction Fees: We reserve the right to deduct a platform transaction fee from the total value of orders processed through your storefront. This fee is collected by Bakeshop for the use of our software and or eventual marketplace.
- Stripe Processing Fees: In addition to Bakeshop platform fees, all transactions processed via Stripe are subject to Stripe's standard processing fees (e.g., credit card transaction costs). These fees are set by Stripe and are automatically deducted from the transaction total before funds are deposited into your account. Bakeshop does not control these fees.
- Stripe Connected Account: To accept credit card payments, you must create and connect a Stripe Standard account. You maintain a direct contractual relationship with Stripe and are solely responsible for maintaining your account security, managing your payout schedule, processing refunds, and keeping your banking information up to date via the Stripe dashboard.
- Payouts: Funds from credit card sales are processed directly by Stripe and deposited into your bank account according to the schedule you set within your Stripe account. Bakeshop does not hold funds on your behalf and is not responsible for payout delays.
- Taxes: You are solely responsible for determining, collecting, reporting, and remitting all applicable taxes, duties, fees, and surcharges ("Taxes") for sales made through your Storefront. Bakeshop provides a "Global Tax Rate" setting in your dashboard that allows you to apply a specific percentage to orders. It is your responsibility to ensure this rate is accurate for your jurisdiction. Bakeshop is not a tax advisor and is not liable for any under-collection or over-collection of taxes.
- Peer-to-Peer & Manual Payments: You may choose to accept payments via external methods (e.g., Venmo, Cash App, Zelle, or cash) by providing your payment details to Customers. Bakeshop is not a party to these transactions. You are solely responsible for verifying that funds have been received, manually marking the order as "Paid" in the dashboard, and handling any refunds directly with the Customer.

B. For Customers
- Billing:
By placing an order on a Merchant’s storefront, you authorize the Merchant (facilitated by our third-party payment processor, Stripe) to charge your selected payment method for the total amount. The charge may appear on your bank statement under the Merchant’s name or "Bakeshop."
- Manual & Off-Platform Payments: If a Merchant offers and you choose to use a manual payment method (e.g., Venmo, Cash App, Zelle, or Cash), you acknowledge that this transaction occurs entirely outside of the Bakeshop platform. Bakeshop does not process these funds, cannot verify that payment was made, and cannot issue refunds for these transactions. Any disputes regarding manual payments must be resolved directly with the Merchant.
- Taxes and Fees: Merchants are responsible for configuring their own tax settings. Prices listed may not include applicable sales tax or service fees, which will be calculated and added to the total at checkout based on the Merchant's settings.


6. Cancellations and Refunds
Because Bakeshop empowers independent Merchants who hold their own funds, refund, cancellation, and store policies are set and managed solely by the individual Merchant and can be viewed under the Store Policies section of their storefront.

- Standard Policy:
Due to the perishable nature of baked goods, all sales are generally considered final unless otherwise stated by the Merchant.
- Stripe Refunds: For orders paid via credit card on the platform, refunds must be initiated by the Merchant through their Stripe dashboard. Bakeshop does not hold transaction funds and cannot unilaterally issue refunds or reverse charges on behalf of a Merchant.
- Manual Payment Refunds: For orders paid via off-platform methods (e.g., Venmo, Cash App, Zelle, or Cash), Bakeshop has no ability to track or refund these funds. Any return of funds must be handled directly between the Customer and the Merchant outside of the Bakeshop platform.
- Disputes: If you have an issue with an order (e.g., missing items, quality issues), you must contact the Merchant directly. While Bakeshop may facilitate communication, we are not a party to the transaction and are not obligated to resolve disputes.


7. Content and Intellectual Property
- Merchant Content:
Merchants retain ownership of the text, photos, logos, and menus they upload to their storefronts. By uploading content, you grant Bakeshop a license to use it to operate the Services and promote your shop (e.g., in a "Featured Bakeries" section or in a Marketplace).
- Platform IP: The Bakeshop interface, code, graphics, and design are owned by Bakeshop and protected by copyright and trademark laws. You may not copy, modify, or reverse engineer any part of the Services.


8. Prohibited Conduct
Merchants agree not to use the Services to:
- Sell illegal or prohibited items (e.g., alcohol without proper licensing, controlled substances).
- Post false, misleading, or fraudulent content.
- Violate any food safety regulations or health codes.
- Interfere with the proper operation of the Services (e.g., introducing viruses or overloading our servers).


9. Communications
By using Bakeshop, you consent to receive communications essential to your transactions:
- Email: Order receipts, shipping/pickup updates, and account verification.
- Marketing: Merchants may use our tools to send you marketing emails if you have opted in. You may unsubscribe from a specific Merchant’s list via the footer in their emails.
- SMS Notifications: Merchants may use our platform to send text message alerts regarding menu drops, rotating schedules, and opening times to customers who have explicitly subscribed to these updates. Opt-Out: You can cancel SMS notifications at any time by replying "STOP" to the text message. Rates: Standard message and data rates may apply.


10. Limitation of Liability
To the maximum extent permitted by law, Bakeshop shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses, or for any personal injury or death, whether incurred directly or indirectly, resulting from:
- Your use or inability to use the Services.
- The conduct or content of any Merchant or third party.
- The consumption of any products purchased through a Merchant's storefront.


11. Termination
We reserve the right to suspend or terminate your account (Merchant or Customer) at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Services, us, or third parties, or for any other reason.


12. Governing Law
These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
